However, all corporate attorneys must be able to advise clients, whether big or small, about their legal rights and responsibilities.

Many corporate attorneys work in private practice and provide legal advice to clients as they participate in business transactions. The attorneys draft, negotiate, and carry out contracts, advise the company on corporate governance issues, and assist clients with the mandatory disclosure of financial information to owners and shareholders. Other attorneys work in a corporation in-house corporate counsel and serve as internal advisers to the company.

Publicly held companies have shares of stock that are traded by the public, such as on the New York Stock Exchange. Privately held businesses do not have public stock, and are owned by a limited number of shareholders. Attorneys must understand the differences between these types of organizations and the different challenges each can face.

In Albany, there is a corporate position available. It requires a minimum of five years’ experience. It is a corporate counsel position, and the position will provide legal support to both state and local government healthcare solutions group operations. Other tasks include assisting the general counsel in advising and rendering opinions to management, providing legal services to in-house clients, and drafting, reviewing, and revising instruments involving the company’s interests or the interests of its customers.

In addition to five years’ experience, experience with an emphasis on reviewing and negotiating RFPs, contracts, subcontracts, software licenses, teaming agreements and similar components is required. Experience with federal an state privacy, ethics, and public records laws is a plus. The candidate must have experience with federal and state healthcare law, including Medicaid, Pharmacy Benefit Management, Enrollment Brokers, HIPAA, and Third Party Liability.
