Law Firms Cooley and Winston & Strawn Representing Hot Topic and Sycamore

Sycamore is purchasing the teen clothing retailer Hot Topic for $600 million. Barbara Borden, the head of the M&A practice at Cooley, leads the team advising Hot Topic, according to The Am Law Daily.

Other lawyers from Cooley who are on the team include the following: corporate partners Jason Kent and Al Browne, compensation and benefits partner Thomas Welk, credit finance partner Michael Tollini, antitrust partner Howard Morse, tax partner Bill Morrow, securities litigation cochair Koji Fukumura, M&A special counsel Rama Padmanabhan, and associates Peter Adams, Rebecca Jones, Terren O’Connor, and Jon Russo.

The firm advising Sycamore is that of Winston & Strawn. Also on the team is solo practitioner Gary Holihan from Chicago. This same team was used by Sycamore in 2011 when it purchased a 51 percent stake in Mast Global Fashions from Limited Brands for $300 million. It also used the team to make a $391 million purchase of Talbots over the summer in 2012.

The attorneys working on the Sycamore advisement team include the following: Winston corporate partners James Faley Jr., Cab Morris, and Greg Murray, and tax partner Roger Lucas, who are all from Chicago.

The sale for Hot Topic to Sycamore must be approved by shareholders and  regulators. The largest shareholder of Hot Topic is Becker Drapkin Management, which was cofounded by attorney Matthew Drapkin.
