(AAHOA) is a Georgia 501(c)(6) non-profit trade association with the mission to advance and protect the business interests of hotel owners through advocacy, industry leadership, professional development, member benefits, and community engagement. Job Description The Association is seeking a full-time Chief Legal Officer (CLO) & Corporate Secretary with Statewide Government Affairs Experience who will provide a range of legal services to the association, including but not limited to: ? Advising the chief executive officer, senior management, and the board on various legal matters to protect the Association and ensure compliance with all applicable laws ? Managing all outside legal counsel on a variety of legal matters ? Assisting with developing and/or maintaining board meeting agendas, board books, meeting minutes and other corporate secretary responsibilities ? Overseeing Statewide government affairs team members, relationships and advocacy efforts ? Responding to subpoenas and other legal process ? Drafting and negotiating contracts including employment, sales, events (venue, caterer, service providers), association service providers, annual convention, leases (experience in managing and reviewing hotel venue contracts a huge plus) ? Speaking with hotelier members about legal issues at their property regarding franchise/franchisor relationship, human resources, local ordinances, ADA requirements, human trafficking prevention, and a variety of other topics (knowledge related to franchise law a huge plus) ? Reviewing association compliance with industry standards and practices including data privacy, sweepstakes, trademarks, and cybersecurity ? Facilitating member request for information process in accordance with association policy and relevant laws ? Ensuring compliance with antitrust laws, tax exemption, and organization governance and policy ? Taking responsibility for insurance coverage and renewals and claims process ? Drafting proposed policy changes to governance as needed ? Serving as the Team Liaison to the Strategic Planning and Bylaws Committees The CLO & Corporate Secretary will serve on the Executive Leadership Team and assist in all phases of association legal services and governance. This position will be based out of AAHOA’s Atlanta headquarters. Ideal Candidate Requirements ? A J.D. from an accredited law school, current bar membership, in good standing to practice law, and 10+ years of relevant legal experience ? Statewide government affairs, franchise law, complex contracts, non-profit association, governance and/or hospitality law experience preferred but not required ? Have the ability to: Work independently, while managing a high volume of legal work and governance matters Exercise sound business judgment and is a proven problem solver Establish trust with leadership through effective legal advice, communication, and conduct Work in a collaborative, fast-paced environment Travel for business 4-6x per year Additional Qualifications ?
