Job Description Corporate Attorney (Commercial Contracts; Compliance) Overview The Corporate Attorney (Commercial Contracts; Compliance) will report to the Chief Legal Officer, Corporate Secretary and Chief Compliance Officer. S/He will have global responsibility for: (i) reviewing, drafting and negotiating all commercial contracts, corporate policies, procedures and other compliance matters, and (iii) generally assist the CLO on other projects and matters as they arise. Requirements Juris Doctor or similar degree Seven to ten years practicing law, both in a law firm and in-house, with direct responsibility for: commercial contracts, compliance and corporate law Hands-on experience drafting and reviewing contracts Strong negotiation skills and experience in managing negotiations with internal Sales people and clients Experience in training non-legal employees regarding compliance policies and other corporate policies and procedures, as well enforcing the same Skilled at identifying and evaluating liability exposures and making recommendations Exceptionally strong organizational skills, with attention to detail, are essential Fluent in one or more east European languages is a plus but not necessary Key Responsibilities: Negotiate contractual agreements with vendors, retail and distribution customers, licensing partners and other external parties, globally. Partner with internal stakeholders and functions across all regions, to draft, edit and review various commercial contracts, including master services agreements and SOWs Preparation of legal documents, templates, written reports, presentations and updates as requested Support all corporate policies and procedures and all regulatory compliance matters Assist with the protection, management and coordination of patent, trademark, copyright, and brand matters, including overseeing external patent counsel, as well as maintenance and protection of copyrights, and counseling on trademark and copyright matters Counsel and conduct Preventive Law training in areas such as anti-corruption, sales terms and conditions, procurement contracts, and other areas as requested Ensure compliance across all aspects of the business and identify and counsel any risks to executive team Work and advise on Corporate licensing, authorities to do business and renewals Possibility of working remotely for up to two days per week About Ness Ness Digital Engineering is a global Digital Product Engineering services company.
