Summary:

Houlihan Lokey, an international investment-banking firm, is seeking a Staff Attorney to join its legal department in Los Angeles, California. The Staff Attorney will work on a broad range of projects including litigation and regulatory matters, conflicts management, review and negotiation of certain contracts, and other administrative and corporate matters.

Responsibilities Include:

Responding to Document Requests.  Coordination of the Firm’s responses to subpoenas, document requests, and regulatory (e.g., FINRA and SEC) inquiries, including, when appropriate:

  • Handling intake of document requests and identifying and investigating the relevant client engagements or business activities and the Firm personnel involved, which includes summarizing and assessing the underlying case or action

  • Preparing chronologies and timelines of relevant matters based on documents and discussions with financial staff

  • Preparing/drafting objections

  • Negotiating the scope of the document request, including e-mail search parameters, and production deadlines with the requesting party

  • Managing document collection, including performing searches for electronic documents and e-mail, and coordinating with the Firm’s financial staff

  • Assisting in document review and redaction

  • Managing document production, in conjunction with, as appropriate, outside e-Discovery vendors

  • Preparing/drafting preservation memos and managing the Firm’s Legal Hold List

  • Managing the activities and billing of the Firm’s outside counsel


Conflicts Identification and Management.  Researching and assisting in the management of potential conflicts of interest relating to the Firm’s business activities, including, when appropriate:

  • Identifying relevant parties involved in a particular engagement, transaction or other matter

  • Completing and submitting conflicts checks, and generating relationships reports, using the Firm’s conflicts check system

  • Determining the nature and extent of any potential conflicts or other relationships by reviewing and analyzing relationships reports generated by the Firm’s conflicts check system, speaking with financial staff, and researching corporate relationships (e.g., parent-subsidiary, shareholder-corporation) through web-based research tools, company websites, public and private databases, and other sources

  • Preparing written summaries of potential conflicts and other relationships for senior-level attorneys

  • Determining, in coordination with senior level attorneys, appropriate measures to manage potential conflicts or other relationships

  • Assisting in drafting, revising and reviewing any disclosures, internal memos, waivers or other related documentation

  • Managing and maintaining the Firm’s conflicts database, and contributing to process and technology improvements to optimize the conflicts check process 

Contract Review. Review and negotiate certain contracts, such as non-disclosure agreements and vendor agreements

Additional Special Projects. Assist the legal department in a wide range of research and other requests as may be assigned

Experience:

  • A minimum of one year of applicable experience, preferably in a corporate law firm or in-house legal department

  • JD degree from an ABA-approved law school

  • Licensed in good standing to practice law in the State of California

Qualifications:

  • Strong proficiency in litigation case management and eDiscovery tools, legal and financial databases (e.g., LexisNexis, Capital IQ), internet/on-line research tools, internal conflicts database software, Microsoft Outlook, Word, and Excel, database search tools, accessing electronic case dockets and SEC and state corporate filings, and navigating through a networked computer environment
  • Strong interpersonal skills, ability to interact effectively and professionally with all levels of the financial and corporate staff

  • Strong written and verbal communication skills, including the

  • Outstanding organizational and time-management skills

  • A risk-management mindset with high attention to detail, quality, and accuracy

  • Ability to understand and execute on complex instructions, and the ability to understand the details of an assignment within a much larger context

  • Demonstrates initiative and discretion in completing assignments with minimal supervision, and persistence in following up to ensure resolution of open issues

  • Efficient, resourceful, and creative; identifies new and improved approaches to assignments

  • Ability to research, analyze, synthesize, and summarize large amounts of data

  • High level of professionalism and independent judgment

  • Maintain highly confidential information in an ethical, professional manner, and exhibit strong awareness and understanding of ethical principles

  • Ability to work well in a fast-paced environment, carrying out multiple projects simultaneously under multiple deadline pressures with confidence and composure

  • Ability to escalate issues as appropriate and propose well-thought-out solutions
