Job Description Position Description: Rittenhouse Law (“RL”) is a boutique firm focusing on developers, investors, family offices and privately held companies in a wide variety of commercial real estate transactions. The firm has extensive experience representing clients in the acquisition, disposition, leasing, development, financing, and construction of projects across various asset classes, including residential, office, retail, industrial, condominium and senior housing. The team at Rittenhouse Law regularly structures sophisticated joint ventures, partnerships and historic tax credit deals. Additionally, Rittenhouse Law represents banking institutions and private lenders in the financing of commercial real estate, including acquisition, construction and permanent debt, as well as mezzanine, bridge and other structured finance products. The firm’s lawyers routinely represent banks and lenders in business banking, warehouse lending and similar facilities. Rittenhouse Law also counsels financial institutions in creditor’s rights, and the workout and restructuring of debt instruments. Rittenhouse Law also serves as an outsourced legal department for several of its real estate clients. This position will involve splitting time between the firm’s lender and developer clients in a typical law firm setting, and working as an outsourced deputy general counsel role for specific real estate clients. In that role, the attorney will work hand in hand with the client’s general counsel, acquisition, development, finance and property management teams. Specific responsibilities in this position are expected to include some or all of the following: Essential Functions: Act as lead counsel on real estate transactions, including acquisitions, sales, and financings. Negotiate and draft purchase and sale agreements, letters of intent, deeds, leases, and other transaction documents. Coordinate with client’s business team and outside professionals. Analyze and structure complex real estate transactions, including joint venture, acquisition, sale, finance, and development projects. Coordinate due diligence. As required, review and analyze title, survey, leases, organizational and governing documents, management agreements, and other contracts. Represent banks and lenders in financing transactions. Negotiate and draft loan documents, conduct due diligence reviews (including title and survey) and manage all aspects of loan closings. Education & Experience: Minimum of 2 years’ experience as a practicing real estate / financing transactional attorney, with demonstrated ability to manage complex engagements in a team environment; Substantial experience with most or all of the following – lender and borrower-side financings, landlord representations in commercial leasing, commercial real estate acquisition and disposition transaction documents, joint ventures, entity formation and organizational documentation; Admission to Pennsylvania state bar; JD from a top accredited law school required; MBA or finance background preferred; Large law firm experience preferred. Knowledge, Skills and Abilities: Ability to analyze and solve complex legal problems; Firm understanding of and interest in real estate investment, development and finance; Self-starter, motivated and possessing initiative to independently manage transactions and resolve problems; Ability to be effective in a fast-paced organization; Collaborative and respectful management style; and Innovative and creative thinker.
