POSITION SUMMARY
The Legal and Compliance role is responsible for contract processing and management across the organization. This includes but is not limited to contract preparation, negotiation, and execution, including confidentiality agreements, service provider agreements, form agreements and agreements provided by third parties. This role will liaise directly with various departments to address their needs, including researching and providing advice on issues faced by the business. This role will also be the in-house resource for compliance with legal requirements. The Legal and Compliance Sr. Manager must be able to perform in a fast-paced environment, be able to create and reset priorities as the need arises, identify and raise issues before they become critical, and adjust quickly to the changes of a dynamic organization.
 

ESSENTIAL FUNCTIONS:

  • Responsible for contracts through their lifecycle including initial preparation, review and approval of revisions, maintenance of version control, tracking of renewal and termination dates, finalization and execution, and the related updating of all systems with the final contract details
  • Draft and negotiate a high volume of contracts, including (without limitation) master services agreements and work orders, consulting agreements, confidentiality agreements, material transfer agreements, supply agreements, and research agreements
  • Provide legal and administrative support including: review and negotiation of contracts to ensure indemnifications, insurance, security, data ownership, IP and etc. match company policy and legal requirements as a 501(c)3
  • Assist with corporate governance
  • Interpret, draft, and negotiate contract terms and conditions to achieve acceptable levels of risk in a highly competitive market environment
  • Coordinate negotiation schedules and meetings to bring contract negotiations to a conclusion in a timely manner
  • Interface with internal management and external parties to gather specifications and terms necessary for contract drafting and negotiations
  • Manage the organization’s contract database, including reviewing and summarizing key terms of contracts
  • Manage contract and legal issues that arise during grant-cycle administration including but not limited to:
    • Addendums that may be needed  
  • Extensions and no cost extensions
  • Manage contract compliance and related materials with grantee institutions
  • Help develop and update contract templates, training materials, and other relevant documents
  • Monitor and track conflict of interest policy
  • Serve as a liaison with outside counsel, as needed
  • Prepare and file annual reports, registrations and trademarks for PanCAN in required jurisdictions.
  • Perform compliance risk assessments to evaluate inherent risks associated with applicable laws and regulations, identify controls that mitigate compliance risks, assess control strength and determine residual risks
  • Assist staff with compliance documents, tracking, and other tasks
  • Work closely with departments to help ensure compliance with cross-functional policies and procedures

QUALIFICATIONS AND REQUIREMENTS:
The following are the minimum qualifications which an individual needs to successfully perform the duties and responsibilities of this position.

  • Minimum 7 years of relevant contracts and compliance experience
  • Paralegal Certificate and Bachelor’s degree preferred
  • Experience working for a non-profit organization
  • Familiarity with legal and contract concepts, principles and practices used in the development of contracts, and administration and drafting of transaction documents
  • Ability to work independently and make critical decisions that could impact the company, both legally and financially
  • Exceptional judgement - ability to exercise business discretion and maintain a high degree of integrity, confidentiality, and professionalism
  • Strong contract drafting and negotiation skills
  • Strong sense of accountability, taking ownership over assignments, and resolving issues proactively
  • Ability to prioritize tasks, think clearly under pressure, meet tight deadlines and thrive with minimal supervision in a fast-pace, growing environment
  • Strong organizational skills, with the ability to handle multiple responsibilities simultaneously and meet high-quality standards
  • Excellent attention to detail, accuracy and follow-through
  • Team player with a commitment to developing strong, collaborative relationships with fellow members of the team, external constituents, and other cross-functional teams
  • Ability to be flexible and willing to accept new responsibilities as needed
  • Excellent verbal and written communication skills
  • Advance proficiency in Microsoft suite (Word, Excel, PowerPoint and Outlook)
