<p>A lawsuit was filed on Wednesday in the state of Texas by Highland Financial Partners LP that alleges that its former counsel, Orrick Herrington &amp; Sutcliffe LLP, cost the firm $95 million because it failed to tell them about a provision in a collateralized debt obligation transaction that allowed Royal Bank of Scotland Group PLC to cancel it whenever it wanted to do so.</p>
<p>&nbsp;</p>
<p>Orrick is accused of costing the investment firm and its affiliates, Highland CDO Opportunity Master Fund LP and HFP CDO Construction Corp., close to $100 million in damages after Orrick failed to tell the company that its CDO with RBS could be canceled by RBS at any time without explanation.</p>
<p>&nbsp;</p>
<p>Orrick is alleged to have committed legal malpractice when advising Highland in the CDO transaction that took place in 2007 and in 2008. During this time period, the firm reviewed two amendments that were supposed to extend the deadline time to finish the transaction and close it.</p>
<p>&nbsp;</p>
<p>According to the lawsuit, Orrick knew that Highland paid RBS over $65 million for extensions but Orrick did not tell the firm that the amendments did not cancel a provision from the original agreements that allowed the bank to cancel the agreement whenever it pleased. The suit then says that the firm paid tens of millions of dollars for ‘meaningless extensions.’</p>
<p>&nbsp;</p>
<p>The lawsuit then claims that RBS prematurely ended the agreement in October of 2008 because of Orrick’s negligence and the fact that RBS wanted to take advantage of international accounting standards that would allow RBS to report a profit of $30 million when it foreclosed on the assets in November of 2008.</p>
<p>&nbsp;</p>
<p>According to the lawsuit, Highland lost $65 million that it had to pay to RBS and also faces approximately $30 million in deficiency.</p>
<p>&nbsp;</p>
<p>“It was well understood that Highland paid more than $65 million in exchange for an extension of the transaction that would allow the parties sufficient time to close the deal,” the suit said. “Yet, despite Highland’s express directives, Orrick’s extensive experience with Highland, and Orrick’s industry-leading knowledge of these transactions, Orrick negligently failed to advise Highland that the amendments permitted RBS to unilaterally terminate the deal at any time.”</p>
<p>&nbsp;</p>
<p>In each of Highland’s CDO transactions dating back to the middle of the 1990s, Orrick has represented Highland from its London and Los Angeles offices. During that period, 25 CDO transactions took place in the United States and four CDO transactions took place in Europe from 1996 to 2008. William T. Reid IV, Lisa S. Tsai, Joshua J. Bruckerhoff and Craig A. Boneau from Reid Collins &amp; Tsai LLP represent Highland in the case. The counsel for Orrick has not been announced yet. The case is titled as Highland CDO Opportunity Master Fund LP et al v. Orrick Herrington &amp; Sutcliffe LLP et al. The lawsuit was filed in the District Court of Dallas County, Texas, the 68<sup>th</sup> Judicial District.</p>

<p>In recent days, the law firm of Orrick, Herrington &amp; Sutcliffe LLP announced that five bank finance and high yield partners have joined its existing New York acquisition finance practice.</p>
<p>The partners include Ronan M. Wicks and Patrick J. Flanagan, formerly partners at Milbank, Tweed, Hadley &amp; McCloy LLP in New York, Bruce Czachor, formerly a partner at Shearman &amp; Sterling LLP in New York, Julian S.H. Chung, formerly a partner at Cadwalader, Wickersham &amp; Taft LLP in New York, and Jason D. White, head of the leveraged and high grade finance and credit restructuring practices in the Americas for the legal department of Barclays Capital. </p>
<p>The partners have joined Orrick’s acquisition finance practice group; Ronan Wicks will serve as global co-head.</p>
<p>Wicks, Flanagan, Czachor, Chung and White regularly represent a cross section of major investment banks in sophisticated financing and restructuring transactions involving financial sponsors, leveraged corporates and investment grade companies. Clients have included Barclays Capital, Goldman Sachs, Credit Suisse, Morgan Stanley, Citibank, and Bank of America.</p>
<p>Orrick’s client base of financial institutions accounts for over one-third of the firm’s total revenues.  With the addition of these partners, the firm has added significant acquisition finance capability to its leading financial institution practices in the areas of project finance, infrastructure finance, structured finance, public finance, capital markets, tax, and litigation. </p>

<p>Orrick&#8217;s SSF practice group focuses on the areas of microfinance, education, water, health, energy and housing.  The firm said despite the importance of access to these services, funding for SSF organizations is often difficult to obtain, structure and invest in.</p>
<p>&#8220;Our long-standing pro bono work has allowed us to leverage and expand our knowledge and capabilities as well as develop relationships with non-governmental organizations and governmental agencies involved in SSF sectors,&#8221; said Cam Cowan, senior partner for the Transactional Division and a member of Orrick&#8217;s Executive Committee.  &#8220;Through our prior pro bono work, we have discovered that few law firms operate in this space, and we view this as a unique opportunity for us to better support organizations pursuing SSF objectives.&#8221;</p>
<p>SSF – also known as Sustainable Investment or Socially Responsible Investment – is unlike traditional finance in that it has a “triple-bottom line” investment approach, the firm said. This means that SSF is geared towards achieving the investment objectives of financial return; social return; and environmental return.</p>
<p>SSF clients focus on building scalable, sustainable solutions for individuals and companies throughout the world.</p>
<p>Orrick has represented SSF clients in a wide range of pro bono.  Since 2003, the firm has worked with leading SSF organizations including Calvert Foundation, CHF International, Enzi, Vittana, Water.org, MercyCorps and Kiva, and it currently represents a significant number of the largest and most active SSF organizations globally on both a pro bono and a paying basis.  The firm also represents various SSF funds, capacity-building organizations, foundations and other key stakeholders.</p>

			<content:encoded><![CDATA[<p><a href="http://www.jdjournal.com/wp-content/uploads/2008/12/orrick_160x120.jpg"><img class="alignright size-full wp-image-2544" src="http://www.jdjournal.com/wp-content/uploads/2008/12/orrick_160x120.jpg" alt="orrick" width="160" height="120" /></a>Mergers between large law firms are becoming more and more common lately.  Following the trend, firms <a href="http://www.orrick.com/">Orrick, Herrington &amp;  Sutcliffe, LLP</a> and <a href="http://www.akingump.com/">Akin Gump Strauss Hauer &amp; Feld, LLP</a> are in talks of a merger which have been called by representatives on both sides &#8220;preliminary.&#8221;</p>
<p>Founded in 1863 in San Francisco, Orrick has striven to build relationships with its clients and develop a solid basis for its firm.  Orrick is now a worldwide law firm with 22 different offices and over 1,100 lawyers.</p>
<p>Akin Gump has been around since 1945.  The firm is one of the world&#8217;s largest and has also spanned the globe with 14 offices and more than 800 lawyers.  Akin Gump has offices across the United States, Switzerland, England, Russia, China, and The United Arab Emirates.</p>
<p>This is not the first merger talk that Orrick has been a part of, though a merger of Orrick and Akin Gump would create a global firm that would be comprised of over 1,740 attorneys.</p>

<p>&#8220;London&#8217;s importance to global markets makes it a critical business centre for our clients,&#8221; Anne O’Neill, , partner-in-charge of Orrick&#8217;s London Office, said in a press release. &#8220;A well-recognized strategic objective of the firm has been to grow in London with highly experienced lawyers who can serve all of our clients needs.&#8221;</p>
<p>Formerly the leader of Fox Williams&#8217; ebusiness group, Stone’s practice focuses on intellectual property and technology  law, data protection and privacy law and online regulation.  He regularly negotiates, drafts and advises on complex commercial agreements and technology transactions, such as technology licenses, supply, distribution and development agreements, terms of business, SaaS agreements and outsourcing agreements.</p>
<p>Thornton focuses his practice on the tax aspects of many types of transactions, particularly those with an international dimension, including mergers and acquisitions, asset purchase and sales, corporate restructurings, securities offerings, financings and fund formations.  He has worked on sophisticated tax issues for a number of large international clients including Virgin Media, Goldman Sachs, Morgan Stanley, Investec, Rhodia, Thomson Reuters and Edison Mission Energy.<br />

While not a return to lockstep compensation, second-year associates will havetheir compensation bumped to $170,000 from $160,000 beginning in January, and third-years will have salaries increased $15,000 to $185,000.</p>
<p>The salaries of first-year associates will remain at $160,000 in top markets.</p>
<p>Legal Pad reports managing associates will earn between $210,000 and $250,000 next year and senior associates will earn up to $265,000 in base salary.</p>
<p>Orrick spokesman David Schaefer told the Web site the plan does have lockstep elements in the early years, but will begin to vary more at the “managing associate level.” That’s because the firm “doesn’t want to judge lawyers too early in their career development.”</p>
<p>Orrick, Herrington &amp; Sutcliffe LLP is a global law firm with more than 1,100 lawyers in 22 offices in North America, Europe and Asia. The firm focuses on litigation, complex and novel finance and innovative corporate transactions.</p>

<p>Baxter went on to say that the profit per partner metric gives clients a negative impression of the firm: &#8220;Clients don’t like the perception that law firms are organized to drive the income of its partners.”</p>
<p>In 2009, Orrick reported gross revenue of $847.5 million and profits per partner of $1.3 million.</p>

The office is located in the same building that houses the CBS headquarters, which is also known as Black Rock.</p>
<p>The office includes innovative designs and features that are non-traditional to law firms, including numerous public spaces, transparent glass office fronts and an open floor plan, with low-height components for greater visibility and interaction among staff. Additionally, to better connect with other offices and clients, Orrick invested in a state-of-the-art telepresence conferencing equipment.</p>
<p>&#8220;We abandoned prior notions about what a law office should look and feel like,&#8221; said Peter Bicks, Orrick&#8217;s New York office leader.  &#8220;Using strategies often used by our clients, we designed the space to maximize efficiency and provide a more collaborative work environment for Orrick&#8217;s lawyers and staff.&#8221;</p>
<p>The firm said being environmentally-friendly was another top consideration for the office. Orrick will be applying for LEED green building certification for its New York office.</p>

Davis, a former special counsel to President Bill Clinton, is leaving <a href="http://www.mwe.com">McDermott Will &amp; Emery</a> after just seven months to form his own firm.</p>
<p>Davis, who is also a well-known political pundit and columnist, said in a statement to the Washington<em> Post </em>that he is forming Lanny J. Davis &amp; Associates, which will specialize in general litigation issues, media crisis and public policy issues.</p>
<p>“I am excited by this opportunity to offer multidiscipline, solution-oriented legal-media-legislative strategies services to U.S. and international clients,” Mr. Davis said in a statement. “I especially look forward to working with not only McDermott attorneys and clients, but also with other attorneys and law firms on high-profile litigation and regulatory matters.”</p>
<p>It was back in October that Davis made news by leaving <a href="http://www.orrick.com">Orrick, Herrington &amp; Sutcliffe </a>to join McDermott Will &amp; Emery. According to multiple reports, Davis will continue to work with McDermott but will also forge relationships with other firms in his new role.</p>

Kenneth Y. Turnbull joins King &amp; Spalding’s Washington D.C. office while David M. Fine will head to New York.</p>
<p>Turnbull and Fine both have trial practices that focus on accountant liability defense and securities –related matters, according to a firm press release. Turnbull brings experience in complex litigation in state, federal and multidistrict proceedings and investigations by United States Attorneys’ Office.  Fine’s practice has an emphasis on financial, accounting and securities-related matters.</p>

James O&#8217;Keefe, along with Joseph Basel, Stan Dai and Robert Flanagan, were caught up in a scheme whereby two of them posed as telephone repairmen to gain access to Senator Mary Landrieu&#8217;s office.  Early reports indicate that they were attempting to bug her phone lines and the four have been charged with entering a federal building under false pretenses with the intent of committing a felony.  Although no please have yet been entered, Michael Madigan, O&#8217;Keefe&#8217;s lawyer, has claimed that his client was not trying to bug the phone lines.</p>
<p>O&#8217;Keefe is a conservative political activist best known for going undercover as a pimp to catch ACORN workers on film giving advice on how to circumvent the law and run a brothel.  He also caught Planned Parenthood workers on tape advising a girl to lie about her age in order to be able to receive an abortion.</p>
<p><a href="http://www.orrick.com/lawyers/Bio.asp?ID=222266">Michael Madigan</a> is a litigation partner at the Washington office of <a href="http://www.orrick.com/index.asp">Orrick</a>.  He has some experience dealing with political cases involving illegal phone taps, having served as counsel to Senator Howard Baker on the Senate Watergate Committee.</p>

<p>Blank Rome LLP is the 84th largest law firm in the US according to the AmLaw 100. It employs about 500 at its eight offices in the US and Hong Kong.</p>

Kalani will be part of Orrick&#8217;s government and strategic affairs practice group in the Washington, DC office.</p>
<p>Through her work for DISH Network, Kalani has had the opportunity to get to know and work with nearly every attorney general in the country and will bring that familiarity along with her knowledge and experience with multi jurisdiction tax law, consumer protection laws and other related areas to her practice at Orrick.</p>
<p>Orrick Herrington &amp; Sutcliffe, founded in 1863, has over 1,100 lawyers worldwide in 21 offices. The firm’s day-to-day administrative operations are centralized at a Global Operations Center in Wheeling, West Virginia.</p>

In a memo today, the firm outlined its new associate compensation package.  In broad terms, it looks familiar.  The overall structure resembles the plan published recently by Orrick, a three tier system with levels within the tiers.  Unlike <a href="http://www.jdjournal.com/2009/12/03/orrick-moves-away-from-lockstep/">Orrick&#8217;s plan</a>, however, DLA Piper associates will have 15% of their pay withheld each year and will have to earn it back by achieving what amounts to a certain grade on their performance review.  True, the grades are numerical, not alphabetical, but the descriptions are reminiscent of grade descriptions commonly found in law school.  What&#8217;s more, DLA Piper outlined the percentage of associates they expect to make each grade, leading <a href="http://abovethelaw.com/2009/12/dla_piper_bringing_the_curve_t.php#more">AboveTheLaw</a> to refer to it as a grading curve.  You can also see a copy of the memo at ATL.  It&#8217;s not clear that it is a curve, however, since there&#8217;s no indication that the expected percentage of associates at each grade level is fixed.</p>

Unlike many firms that cut base salaries with discretionary bonuses, Orrick kept the $160k starting salary for first year associates.  After that associates will be arranged in three tiers, associates, managing associates and senior associates.  The three tier system is something we&#8217;ve seen from several firms that have abandoned lockstep this year, but Orrick also has multiple pay scales within each tier.  At the high end, senior associates will pull down a base salary of $250k, plus bonuses.  In addition, Orrick says it will pay bonuses at market rate plus an additional discretionary amount of 5-15%, depending on tier.  This is a very competitive structure and should make Orrick a strong competitor for recruitment.  The salary changes will begin in 2010 but the firm says it will pay bonuses for 2009 based on this structure.</p>

Now <a href="http://www.orrick.com/">Orrick, Herrington &amp; Sutcliffe</a> has signed what might be the broadest alternative fee agreement ever with Levi Strauss.  Under the agreement, Orrick will handle all of Levi&#8217;s non IP legal work for one year (Levi Strauss will continue to retain <a href="http://www.townsend.com/">Townsend</a> for its brand protection work) for a flat fee, paid incrementally.  Where Orrick does not have an office, the firm will retain and pay for outside counsel as needed.  The financial details of the deal have not been released by either company.</p>
<p>Orrick Herrington &amp; Sutcliffe, founded in 1863, has over 1,100 lawyers worldwide in 21 offices. The firm’s day-to-day administrative operations are centralized at a Global Operations Center in Wheeling, West Virginia.</p>

Lanny Davis was White House special counsel under Bill Clinton and acted as a spokesman for the President on matters ranging from campaign finance investigations to the scandal involving Monica Lewisnky.  He was a big supporter of Hillary Clinton during the 2008 primary campaign and still maintains close ties to the Clinton&#8217;s.  Eileen O&#8217;Connor, in addition to being a lawyer, is a well known journalist who covered stories for ABC and CNN for 24 years.  Together, they led a practice involving litigation and media strategies at <a href="http://www.orrick.com/">Orrick, Herrington &amp; Sutcliffe</a>.  Now, the pair is moving together to <a href="http://www.mwe.com/">McDermott Will &amp; Emery</a>to join the firm&#8217;s regulatory and government strategies practice.</p>
